The agreement
These terms are an agreement between Synheart AI Inc. (“Synheart”, “we”, “us”) and the organization that subscribes to Synapse (the “Customer”). They also apply to each person who uses Synapse through a Customer’s account (a “Member”). Synapse includes the web app at synapse.synheart.ai, the Synapse MCP server, its APIs, the Synapse features of the Synheart command-line tool and the synapse.work website (together, the “Service”).
By creating an organization, accepting an invitation or using the Service, you agree to these terms. If you accept them for an organization, you confirm that you have authority to bind it. If the Customer has signed an order form with us, the order form takes priority where the two differ.
How we handle personal information is described in our privacy policy, which forms part of these terms.
Accounts and organizations
- You must give accurate information, keep your sign-in details secure and not share your account.
- You must be at least 16 years old.
- The Customer decides who gets a seat and what role they have, and is responsible for its Members’ use of the Service. Administrators should remove access promptly when someone leaves.
- Tell us at once at security@synheart.ai if you suspect someone has accessed an account without permission.
Using Synapse fairly with your people
Synapse is built to understand how work is organized, not to watch individuals. As a Customer, you agree to:
- tell your Members, before connecting their work tools, what Synapse collects and why, and meet any duty under employment or privacy law to inform or consult them;
- connect only tools and sources you are entitled to connect;
- keep sharing human state voluntary: no Member may be required, pressured or rewarded to connect Life by Synheart; and
- not use Synapse, its figures or its exports to monitor, rank, evaluate, discipline or make employment, compensation, insurance or similar decisions about an individual.
Acceptable use
You and your Members may not:
- use the Service to break the law or infringe anyone’s rights;
- try to re-identify individuals from aggregate figures, or work around the privacy floor;
- access data or accounts you are not authorized to, or probe or test the Service’s security without our written permission;
- interfere with the Service, overload it, or exceed rate limits on purpose;
- copy, reverse engineer or resell the Service, except as the law expressly allows;
- upload malware, or content you have no right to share; or
- use the Service to build a competing product.
If you find a vulnerability, report it to security@synheart.ai and give us a reasonable time to fix it before telling anyone else.
Connected services
Synapse works by connecting to services such as GitHub, Slack, Google Workspace, Microsoft 365, Linear, Jira, Notion and AI tools. Your use of those services is governed by their own terms, and you authorize Synapse to access them within the permissions you grant. We are not responsible for those services, their availability or changes they make to their APIs, which can affect what Synapse is able to show.
Synapse’s use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements, as described in our privacy policy.
Your data
“Customer Data” means the data the Service collects from the Customer’s connected tools or receives from the Customer and its Members. The Customer keeps all rights in its Customer Data.
The Customer gives us permission to host, copy, process and display Customer Data only as needed to provide, secure and support the Service, and to produce usage figures for billing. We do not sell Customer Data, use it for advertising, or use it to train AI models.
We may use aggregated technical information about how the Service performs, which does not identify the Customer or any person, to run and improve it.
An organization owner can erase the organization’s Synapse data at any time from the app. If you need a data processing agreement for your use of Synapse, contact legal@synheart.ai.
AI features and insights
- Search and memory. Synapse returns excerpts from your organization’s sources. They can be incomplete or out of date. Check important answers against the source.
- Agents. AI assistants you connect act on your instructions and your access. Agent rules reduce risk but cannot catch every unwanted action, and you remain responsible for what your agents do.
- Metrics. Effectiveness figures and indexes are estimates from available data. Synapse marks figures that are partial or missing rather than guessing, but they are aids to judgment, not facts about people.
- Human state. Scores from Life by Synheart describe wellbeing and focus. They are not medical advice, a diagnosis or a substitute for a health professional.
Plans, fees and billing
Team plan
- The Team plan costs $29.90 per seat per month, plus applicable taxes, with a minimum of 4 seats. Each Member with a Synapse seat counts as one seat.
- Each seat includes a monthly usage allowance shown on our pricing page. Allowances belong to each seat and are not pooled, except embedding tokens, which are shared by the organization. Usage beyond the allowance may be billed at the rates on the pricing page.
- Subscriptions are billed monthly in advance by card through Stripe and renew automatically until cancelled.
- Adding or removing seats takes effect at once. No refund or credit is given for seats removed during a period already paid, except where the law requires it. If the Customer cancels, access continues until the end of the period already paid, and the subscription does not renew.
Enterprise
Enterprise subscriptions are set out in an order form, which states the seats, fees, term and invoicing terms.
Price changes and late payment
We will give at least 30 days’ notice of a price change, and it applies from the next billing period after the notice. If a payment fails, we will tell the Customer and may suspend the Service if it is not resolved within 14 days.
Our commitments
We will:
- provide the Service with reasonable skill and care;
- protect Customer Data with the security measures described in our privacy policy;
- keep Customer Data confidential and process it only as these terms and our privacy policy allow; and
- give reasonable notice before removing a significant feature the Customer pays for.
We work to keep the Service available but do not promise it will be uninterrupted or error-free. We may carry out maintenance, and we will try to keep disruption short.
Confidentiality
Each party will keep the other’s non-public business information confidential, use it only for this agreement and share it only with people who need it and are bound to protect it. This does not apply to information that is public through no fault of the receiving party, was already known to it, or must be disclosed by law, in which case the receiving party will give notice where it lawfully can.
Intellectual property and feedback
Synheart owns the Service, including its software, models, design and documentation. These terms give the Customer and its Members a right to use the Service during the subscription and nothing more. Open-source components are licensed under their own licences. If you send us feedback or suggestions, we may use them without obligation to you.
Suspension and termination
- The Customer can cancel at any time in the app.
- We may suspend or end access if these terms are seriously breached, if payment is overdue as described above, or if needed to prevent harm to the Service or other people. Where we reasonably can, we will warn first and give a chance to fix the problem.
- We may end the Service for everyone with at least 60 days’ notice.
- Before an organization’s subscription ends, its owner can erase its data. Data is otherwise handled as set out in the retention section of our privacy policy.
Sections that by their nature should continue, including your data, confidentiality, liability and governing law, survive termination.
Disclaimers
Except as these terms expressly say, the Service is provided “as is” and “as available”, and Synheart gives no other warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.
Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, even if told they were possible. Each party’s total liability under these terms is limited to the amounts the Customer paid for the Service in the 12 months before the event giving rise to the claim.
These limits do not apply to the Customer’s payment obligations, to a party’s indemnity obligations, or to liability that cannot be limited by law.
Indemnity
The Customer will defend Synheart against third-party claims arising from Customer Data, from connecting tools or sources it was not entitled to connect, or from using the Service in breach of the section on using Synapse fairly with its people, and will pay the resulting damages and reasonable costs. Synheart will defend the Customer against third-party claims that the Service infringes their intellectual property rights, and will pay the resulting damages and reasonable costs, except where the claim arises from Customer Data or from using the Service in a way these terms do not allow.
Changes to these terms
We may update these terms as Synapse changes. We will give at least 30 days’ notice by email or in the app before a material change takes effect. If the Customer does not agree, it may cancel before the change applies. Using the Service after that date means accepting the updated terms.
Governing law and disputes
These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there. The courts of British Columbia, sitting in Vancouver, have exclusive jurisdiction over any dispute about them, except that either party may seek urgent relief in any court that has jurisdiction. Before going to court, each party will first try in good faith to resolve the dispute by talking to the other.
General
- These terms, the privacy policy and any order form are the whole agreement about the Service.
- Neither party may transfer this agreement without the other’s consent, except to a successor in a merger or a sale of substantially all of its business.
- Neither party is liable for delays caused by events beyond its reasonable control.
- If part of these terms cannot be enforced, the rest still applies. Not enforcing a term is not a waiver of it.
- We send notices to the Customer’s account owner by email. Send notices to us at legal@synheart.ai.
